If you are using the Software on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

2. License to Use the Software

We grant you a limited, non-exclusive, non-transferable license to use the SMARTISO QMS Software in accordance with these terms and any applicable service agreements. This license allows you to use the Software for internal purposes only, for as long as you have a valid subscription. This license does not grant you any right to copy, modify, or distribute the Software beyond the scope of the subscription.

3. Account Registration and Security

To use the SMARTISO QMS Software, you must register an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account.

If you suspect any unauthorized access to your account, you must immediately notify us at hello@odacity.io. We are not responsible for any loss or damage resulting from unauthorized access to your account.

4. Subscription and Payment

The Software is available on a monthly or annual subscription basis. By subscribing, you agree to pay the applicable subscription fees. All payments will be made according to the pricing plan selected by you and are non-refundable after the 30-day money-back guarantee period.

We may change the subscription fees at any time with notice to you. You are responsible for paying all applicable taxes associated with your subscription.

5. Use of the Software

You agree to use the Software in compliance with all applicable laws and regulations. You will not:

  • Use the Software for any illegal or unauthorized purpose.
  • Attempt to decompile, disassemble, or reverse engineer the Software.
  • Distribute, rent, lease, or sublicense the Software without permission.
  • Interfere with the proper functioning of the Software or attempt to gain unauthorized access to the system.

6. Intellectual Property

All intellectual property rights in the SMARTISO QMS Software, including but not limited to its design, content, and underlying technology, are owned by ODACITY LLC or its licensors. You acknowledge that you have no rights, title, or interest in any of the intellectual property other than the limited license granted to you under these Terms.

7. Privacy and Data Security

We respect your privacy and handle your data in accordance with our Privacy Policy. You are responsible for the accuracy of the data you provide. We take reasonable steps to protect your data, but we cannot guarantee complete security, as no method of data transmission over the internet is completely secure.

8. Termination

We may suspend or terminate your access to the SMARTISO QMS Software at any time, without notice, for any violation of these terms or any conduct that we deem to be harmful to us or other users. Upon termination, your access to the Software will immediately cease, and you will no longer have the right to use it.

9. Limitation of Liability

To the maximum extent permitted by law, ODACITY LLC shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from the use or inability to use the Software. Our total liability shall not exceed the amount you have paid for the Software during the 12-month period immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ODACITY LLC, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, and expenses (including legal fees) arising from:

  • Your use of the Software.
  • Your violation of these Terms and Conditions.
  • Any third-party claims related to your actions.

11. Modifications to the Terms

We may update or modify these Terms and Conditions from time to time. Any changes will be posted on this page, and the Effective Date at the top of the page will be updated. By continuing to use the Software after such modifications, you agree to the updated Terms.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Unite States/Cheyenne. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Cheyenne/Wyoming, in accordance with the rules of Wyoming.

Our website and Software may contain links to third-party websites or services. We are not responsible for the content or privacy practices of those sites, and your use of such sites is at your own risk.

14. Force Majeure

We are not liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, government action, war, or technical failures.
